MEC FYI Line

As a public company, MEC has certain obligations to meet and various rules and regulations to comply with.  Our financial records must be accurate and open for honest auditing practices.  Our employees, as well as our directors and officers, must adhere to MEC's Code of Business Conduct. We want to be open and transparent.  As a result, we are introducing a new communications tool called the “MEC For Your Information Line” or “MEC FYI Line” where you are encouraged to report any concerns you have about MEC’s financial, auditing or accounting matters or the conduct of MEC’s business.  With your participation, the MEC FYI Line will play an important role in making MEC one of the most efficient companies in the world.

 

The MEC FYI Line is a proactive communications tool that:

 

·         Effectively addresses the requirements of the Sarbanes-Oxley Act of 2002 requiring public companies to have procedures for receiving complaints regarding their financial practices

·         Provides a safe place to report concerns of any inappropriate behaviour in a confidential manner, without fear of retaliation or retribution

·         Reduces fraud, theft and abuse

·         Reinforces MEC’s ethical values

The MEC FYI Line is operated by a segregated group of employees of an affiliate of MEC.  All investigations of complaints will be conducted by internal audit employees of that affiliate, not MEC employees.  MEC has signed a letter agreement with that affiliate that establish ethical walls between the MEC FYI Line and the investigators on one side, and MEC and its employees, officers and directors on the other side.  This ethical wall is designed to ensure the integrity of the MEC FYI Line and MEC’s reporting process for complaints, without interference from biased or interested parties.

 

Knowingly making a false report of illegal or unethical conduct is a serious offence and will be dealt with accordingly.
